These Terms of Service ("Terms") govern your use of the RiCherChasAI Voice Recorder application (the "App") operated by RiCherChasAI Audio ("we," "our," or "us"). By downloading, installing, or using the App, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the App, you confirm that you are at least 13 years of age and have the legal capacity to enter into these Terms. If you do not agree to these Terms, you must not use the App.

We reserve the right to modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the revised Terms. We will notify you of material changes through in-app notifications or email.

2. Intellectual Property Rights

Company Property: The App, including its source code, design, architecture, AI models, algorithms, branding, and documentation, is the exclusive intellectual property of RiCherChasAI Audio. All rights are reserved. The App is licensed to you, not sold.

Your Content: You retain full ownership of all audio recordings you create using the App. We claim no rights to your recordings. By using the cloud processing feature, you grant us a limited, temporary license to process your audio solely for the purpose of delivering the requested service. This license terminates upon processing completion and file deletion (within 24 hours).

3. Subscriptions & Billing

• Subscriptions auto-renew monthly unless cancelled at least 24 hours before the end of the current billing period
• Payment is charged to your App Store or Google Play account at confirmation of purchase
• You may manage and cancel subscriptions through your device's subscription settings
• Refunds are subject to the policies of Apple or Google, as applicable
• We reserve the right to modify pricing with 30 days' advance notice; existing subscribers will be grandfathered at their current rate until renewal

4. User Conduct

You agree to use the App lawfully and responsibly. Specifically, you must not:

• Record without consent: You are solely responsible for obtaining all necessary permissions and consents before recording any individual. Recording conversations without consent may violate local, state, or federal laws.
• Reverse engineer: Decompile, disassemble, reverse engineer, or attempt to derive the source code of the App or its AI models
• Circumvent restrictions: Bypass, disable, or interfere with any security or access control features of the App
• Misuse cloud resources: Use the cloud processing pipeline for purposes other than processing your own audio recordings, or attempt to exceed your plan's processing limits through automated means
• Redistribute: Copy, redistribute, sublicense, or resell the App or any portion thereof

5. Limitation of Liability

To the maximum extent permitted by applicable law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App
• Our total cumulative liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim
• We do not guarantee uninterrupted, error-free, or secure operation of the App or its cloud services
• We are not liable for any loss of audio recordings, data corruption, or processing failures

6. Indemnification

You agree to indemnify, defend, and hold harmless RiCherChasAI Audio and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

7. Termination

We may suspend or terminate your access to the App at any time, with or without cause, including for violation of these Terms. Upon termination:

• Your license to use the App is immediately revoked
• Any active subscription will be cancelled (no refund for the current period)
• Your right to use cloud processing features ceases immediately
• Audio recordings stored locally on your device remain yours

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which RiCherChasAI Audio is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body, unless prohibited by local law.

9. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

10. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RiCherChasAI Audio regarding the App and supersede all prior agreements and understandings.
